Interests in the Program offered to U.S. persons are offered and sold pursuant to the exemption from registration provided by Rule 506(c) of Regulation D under the U.S. Securities Act of 1933, as amended (the “Securities Act”). Participation is limited to “accredited investors” as defined in Rule 501 of Regulation D, and Precision Oil will take reasonable steps to verify each investor’s accredited status prior to accepting a subscription. General solicitation and general advertising are permitted under Rule 506(c); however, only verified accredited investors may purchase interests.
Non-U.S. Investors — Regulation S
Interests in the Program offered to non-U.S. persons are offered and sold in offshore transactions in reliance on the exemption from registration provided by Regulation S under the Securities Act of 1933. These interests have not been and will not be registered under the Securities Act and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons except pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. Non-U.S. investors are responsible for complying with all applicable laws of their jurisdiction of residence.
